Dresner MB Partners is responsible for contacting and co-ordinating all communications with potential buyers. In this way, we ensure the effective management of the sale process, including: time schedule, contact with buyers, feedback, meetings and preparation. Simultaneously, the pace of the dialogue with buyer candidates, with whom contact has been established, is maintained.

  • After the seller decides which potential buyers they will talk to, buyers are contacted by Dresner MB Partners to sign non-disclosure agreements, and receive the information memorandum.
  • Subsequently, we begin discussions with potential buyers to map their strategic perspectives in buying the company; their indicative valuations, etc. According to agreement, introductory meetings between the owners of the company and buyer candidates are organised for the purpose of mutually presenting the buyers and the company.
  • Based on the indicative offers received and the interest shown in the company, we select, analyse and propose potential buyers to the sellers, for further discussion.
  • After a letter of intent has been agreed - sometimes even earlier -, we organise business, accounting and legal due diligence investigations in collaboration with the company accountant and attorney. The potential buyer now gains access to verify the correctness of previously distributed and communicated information.
  • The final negotiations and closing are carried out in collaboration with advisers on both sides.

Dresner MB Partners' experience and thoroughness in the sale process ensure the best basis for initiation of negotiations with potential buyers. During negotiations, we aim to optimise the result for our client. This is a combination of price, takeover model, representations and warranties and other conditions in the agreement, in continuous consideration for securing the completion of the transaction.
